Sphera World NFT Intellectual Property Ownership and Usage Agreement

This Intellectual Property Ownership and Usage Agreement ("Agreement") is made effective as of [Insert Date], by and between Sphera World ("Licensor") and the holder ("Licensee") of any Sphera Head NFT.

1. Ownership and Grant of License

Licensor confirms that the Licensee, by virtue of owning a Sphera Head NFT, owns the underlying digital image represented by the NFT ("Licensed IP"). Licensor hereby grants to Licensee a non-exclusive, worldwide, perpetual license to use, reproduce, display, distribute, and create derivative works based on the Licensed IP. This license extends to both digital and physical forms.

2. Permitted Uses

Licensee is authorized to:

• Employ the Licensed IP to develop and commercialize derivative content, products, or projects.

• Market, promote, and sell products or projects incorporating the Licensed IP.

• Generate revenue from the commercial use of the Licensed IP without owing compensation to Licensor.

3. Use of Sphera Logo

• Restricted Use: The use of the official Sphera logo is not covered under this Agreement and remains the intellectual property of the Licensor. Any use of the Sphera logo requires explicit prior written consent from Licensor, obtainable via [Insert Contact Method].

4. Intellectual Property Rights

• Licensor’s Rights: All rights, title, and interest in the Sphera logo and any trademarks or service marks of Sphera World are retained by Licensor. This Agreement does not confer any rights to these trademarks to the Licensee.

• Licensee Developments: Any new intellectual property created by Licensee that incorporates the Licensed IP and adheres to this Agreement shall be owned by Licensee. Licensor is granted a royalty-free, perpetual license to use such intellectual property for promotional purposes.

5. Termination

This Agreement remains in effect until terminated. Licensee may terminate this Agreement at any time by ceasing use of the Licensed IP and destroying all derivatives. Licensor may terminate this Agreement immediately upon Licensee’s breach of any terms herein.

6. Indemnification

Licensee agrees to indemnify, defend, and hold harmless Licensor from any claims, liabilities, or expenses arising from Licensee’s use of the Licensed IP that does not comply with this Agreement.

7. General Provisions

This Agreement represents the complete agreement between the parties regarding the Licensed IP and supersedes all prior discussions and agreements. Modifications to this Agreement must be made in writing and signed by both parties.

Signature Acknowledgment

By acquiring a Sphera Head NFT, the Licensee agrees to the terms outlined in this Agreement. Licensor reserves the right to update these terms, with notice provided to current NFT holders.
